DBenk terms of service and on-premise End User License Agreement (EULA)

Version 1.0, effective 1 November 2026. Versi bahasa Indonesia: Syarat layanan.

1. Parties and acceptance

These terms apply between DBenk ("DBenk", "we"), and the business or person that signs up for a trial, creates a customer portal account, installs, or buys a DBenk license ("Customer", "you"). Contact: halo@dbenk.com.

By ticking the consent box on the trial form, signing in to the customer portal, installing the software, or paying an invoice, you accept these terms on behalf of your business and confirm you are authorized to do so. If you do not agree, do not use our services and software. A written agreement signed by both parties (e.g. an Enterprise contract) prevails where it differs from these terms.

2. Services and software

  • DBenk Hub and its modules (Office · 3D, Virtual Office · Vita, DevOps, Vita, and other available modules): software installed and run on the Customer's own server ("on-premise"). Data processed by that software stays on the Customer's server.
  • Vendor services we operate: the dbenk.com website, trial sign-up, the customer portal and license server at lisensi.dbenk.com (license issue and renewal, invoices, requests), the signed download and update channel at get.dbenk.com, and the public demo at demo.dbenk.com.
  • Support according to the plan purchased (section 9).
  • A Cloud version (hosted by us) is not yet available; when it is, additional terms will apply.

3. Accounts, Sign in with Google, and security

  1. For the customer portal and vendor services you can sign in with an e-mailed sign-in link or, where available, Sign in with Google. With Sign in with Google we receive only your Google account ID, name, e-mail address, and e-mail verification status (scopes openid email profile) and use them only to sign you in and contact you about your license, as described in section 4 of the Privacy policy. You can revoke that access at any time in your Google account permissions.
  2. You must provide accurate information, keep account access, passwords, license keys, and tokens confidential, and tell us promptly about any suspected misuse. Actions taken through your account are your responsibility unless caused by our negligence.
  3. In the Customer's own DBenk Hub, user accounts and roles are managed by the Customer, including Google sign-in through the Customer's own OAuth client.

4. Software license (on-premise EULA)

  1. Subject to these terms and applicable payment, we grant the Customer a non-exclusive, non-transferable, non-sublicensable right to install and use the software on servers the Customer controls, for the Customer's internal business purposes, within the plan limits (active people, DevOps servers, Vita slots, modules) and term stated in the license file.
  2. The Customer may not: sell, rent, lend, or provide the software as a service to third parties; remove, disable, or circumvent license checks or release signatures; use it beyond the plan limits without buying more; reverse engineer, decompile, or disassemble it except as permitted by law; remove copyright notices; or use the software for unlawful purposes.
  3. Third-party open-source components included are governed by their own licenses; these terms do not limit your rights under those licenses.
  4. The Community plan (free, max. 2 people) is provided at no charge and without paid support, subject to this section.

5. Trial, subscription, and perpetual licenses

  1. A trial lasts as stated when issued (default 14 days), is for evaluation only, free of charge, and without obligation to buy. We may refuse or end a trial that is misused.
  2. A subscription runs for the paid period (monthly, yearly, or as invoiced) and renews only when the invoice for the next period is paid. There is no automatic card charging.
  3. A perpetual license (where offered) grants the right to use the versions released during the purchased update period without time limit; updates and support after that period require an update renewal.
  4. Licenses are checked on the Customer's server without internet access. When a subscription or trial ends there is a 14-day grace period; afterwards paid modules become read-only until the license is renewed. The Hub Owner can still sign in, data is not deleted, and backups can still be made and restored. Teams of 1–2 people fall back to the Community plan.

6. Prices, payment, and taxes

  1. Prices are those on the dbenk.com pricing page at the time of order or in a written quote, in Indonesian Rupiah. Prices exclude VAT (PPN) where we are a VAT-registered business; VAT, when charged, is shown on the invoice.
  2. Invoices are paid by bank transfer to the account shown on the invoice by the due date. Licenses are issued or renewed once payment is recorded as paid.
  3. Tax withholding by the Customer (e.g. PPh 23) follows the applicable rules; the withholding slip is sent to us.
  4. Price changes do not apply to periods already paid and are announced at least 30 days before the next period.

7. Renewal, cancellation, and refunds

  1. You can stop at any time by not paying the invoice for the next period; the license ends at the end of the paid period (then the grace period of section 5.4 applies).
  2. Plan upgrades or downgrades are requested via the portal and take effect on the next invoice unless agreed otherwise.
  3. Fees paid are non-refundable once the license has been activated, except as required by law or otherwise agreed in writing. Duplicate or mistaken payments are refunded after verification.

8. Customer data and privacy

  1. Customer data remains the Customer's. Employee and user data in DBenk Hub is stored on the Customer's server; for that data the Customer is the Personal Data Controller under Indonesian Law No. 27 of 2022 (PDP Law) and must have a lawful basis and inform employees before the presence agent is installed (template: https://dbenk.com/en/employee-notice).
  2. When renewing a license, the Customer's Hub sends us only the install id, license number, Hub version, and the number of active people, servers, and Vita slots (counts only). We do not receive user names, attendance data, module content, or employee data in normal operation.
  3. Data you send us (account, contact, billing, Google data from Sign in with Google) is processed under the Privacy policy. When support lets us see data on your server, we act as a processor under the Data Processing Agreement.

9. Updates and support

  1. Updates come only from release channels signed by us. The Hub does not install unsigned releases and never silently downgrades. The Customer is responsible for applying updates and making backups before updating.
  2. Support follows the plan stated on the pricing page or quote (e.g. e-mail, WhatsApp), on Indonesian business days. Response times are targets, not guarantees, unless agreed in a written contract.

10. Customer obligations and acceptable use

  1. The Customer provides and maintains the server (Linux + Docker), network, server access security, backups beyond the built-in features, and operating system updates.
  2. For Vita, the Customer uses its own AI API keys or accounts, follows that AI provider's terms, and pays its fees directly to the provider.
  3. The Customer may not use our software or services to: break the law or infringe others' rights; monitor employees without a lawful basis and proper notice; send spam or malware; attempt to breach security, load-test, or disrupt our vendor services (portal, license server, download channel) without written permission; or access other people's accounts.

11. Intellectual property

Copyright and other intellectual property rights in the DBenk software, documentation, brands, and services remain ours or our licensors'; these terms transfer no such rights other than the license in section 4. We may use feedback and suggestions you give us to improve the product without obligation to you.

12. Disclaimer of warranties

The software and services are provided "as is" and "as available". We make reasonable efforts for the software to work as documented, but to the extent permitted by law we give no other warranties, express or implied, including that it is error-free, uninterrupted, or fit for a particular purpose. Trials, the Community plan, and the public demo are provided without any warranty.

13. Limitation of liability

  1. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, loss of profits, revenue, or business opportunity, or data loss caused by the Customer's servers, backups, or configuration.
  2. Our total liability for all claims is limited to the amount the Customer paid us in the 12 months before the event giving rise to the claim (for trials and free plans: zero, unless the law provides otherwise).
  3. These limits do not apply to damage caused by our wilful misconduct or gross negligence, or to anything that cannot be limited by law.

14. Term and termination

  1. These terms apply from your acceptance until all your licenses and accounts have ended.
  2. We may suspend a portal account or stop renewing a license if invoices are unpaid or these terms are materially breached, after written notice and a 14-day opportunity to cure (without that period where needed to prevent abuse or serious harm).
  3. After termination, the right of use beyond the grace period and the Community plan ends; data on the Customer's server remains owned and controlled by the Customer. Sections 4.2, 8, 11, 12, 13, and 15 survive.

15. Governing law and disputes

These terms are governed by the laws of the Republic of Indonesia. Disputes are first settled amicably; if not settled within 30 days of written notice, they are resolved by the District Court (Pengadilan Negeri) with jurisdiction over the domicile of DBenk, unless the parties agree in writing to arbitration.

16. General

If any provision is invalid, the rest remain in force. Our failure to enforce a right is not a waiver of it. You may not assign rights under these terms without our written consent. We are not liable for delays caused by force majeure. If the Indonesian and English versions differ, the Indonesian version prevails.

17. Changes to these terms

We may change these terms. The version and effective date are shown above; material changes are announced at least 30 days before they take effect via the Customer's contact e-mail or the portal. Continued use after the effective date means you accept the change; if you do not agree, you can stop as described in section 7.
